1. Acceptance of Terms

By accessing and using the services provided by FAIRMONT PREMISES PRIVATE LIMITED ("Fairplay," "we," "us," or "our"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

Fairplay provides professional IT services including but not limited to:

• Web and application development
• Cloud computing and DevOps solutions
• Cybersecurity and compliance services
• Business process automation
• Data analytics and business intelligence
• Managed IT support and maintenance

3. User Responsibilities

3.1 Accurate Information

You agree to provide accurate, current, and complete information when using our services. You are responsible for maintaining the confidentiality of any account information and passwords.

3.2 Prohibited Uses

You may not use our services for any unlawful purpose or to solicit others to perform unlawful acts. Prohibited activities include:

• Violating any applicable laws or regulations
• Transmitting malicious code or harmful content
• Attempting to gain unauthorized access to our systems
• Interfering with the proper functioning of our services
• Using our services for any fraudulent or deceptive purpose

4. Service Level Agreement

4.1 Service Availability

We strive to maintain 99.9% uptime for our services, excluding scheduled maintenance windows. We will provide reasonable notice for any planned maintenance that may affect service availability.

4.2 Response Times

We commit to the following response times for support requests:

• Critical Issues: 2 hours during business hours
• High Priority: 4 hours during business hours
• Medium Priority: 1 business day
• Low Priority: 3 business days

5. Payment Terms

5.1 Pricing

All prices are quoted in Indian Rupees (INR) and are subject to applicable taxes. Prices may be updated from time to time with reasonable notice.

5.2 Payment Schedule

Payment terms will be specified in individual service agreements. Generally:

• Projects over ₹1,00,000: 50% advance, 50% on completion
• Monthly services: Payment due within 15 days of invoice date
• One-time services: Payment due before service commencement

5.3 Late Payments

Late payments may incur interest charges at 1.5% per month. We reserve the right to suspend services for accounts with outstanding balances over 30 days.

6. Intellectual Property

6.1 Our Intellectual Property

All content, trademarks, and intellectual property on our website and in our services remain the property of FAIRMONT PREMISES PRIVATE LIMITED unless otherwise specified.

6.2 Client Intellectual Property

We respect your intellectual property rights. Any pre-existing intellectual property you own remains yours. Work product created specifically for you will be transferred to you upon full payment.

6.3 Third-Party Intellectual Property

We ensure that all third-party software and tools used in our services are properly licensed. You are responsible for any additional licensing requirements for your specific use case.

7. Confidentiality

We maintain strict confidentiality regarding your business information, data, and project details. We will not disclose confidential information to third parties without your written consent, except as required by law.

8. Data Protection and Security

We implement appropriate technical and organizational measures to protect your data. However, you acknowledge that no system is completely secure and agree to take reasonable precautions with your data.

9. Limitation of Liability

To the maximum extent permitted by law, FAIRMONT PREMISES PRIVATE LIMITED shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

10. Indemnification

You agree to indemnify and hold harmless FAIRMONT PREMISES PRIVATE LIMITED from any claims, damages, or expenses arising from your use of our services or violation of these terms.

11. Termination

11.1 Termination by You

You may terminate services with 30 days written notice. Any outstanding payments for completed work remain due.

11.2 Termination by Us

We may terminate services immediately if you breach these terms or fail to make payments. We will provide reasonable notice when possible.

12. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, or government actions.

13. Dispute Resolution

13.1 Negotiation

13.2 Arbitration

If negotiation fails, disputes will be resolved through binding arbitration in Mumbai, Maharashtra, in accordance with the Arbitration and Conciliation Act, 2015.

14. Governing Law

These terms are governed by the laws of India. Any legal proceedings will be conducted in the courts of Mumbai, Maharashtra.

15. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

16. Entire Agreement

These terms, together with any service agreements, constitute the entire agreement between you and FAIRMONT PREMISES PRIVATE LIMITED regarding the use of our services.

17. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Your continued use of our services constitutes acceptance of the modified terms.
